Virohan owns and operate this Application.  This document governs your relationship with www.virohan.com myLeads App (“Application” or “Virohan myLeads App”). Access to and use of this Application and the products and services available through this Application (collectively, the "Services") are subject to the following terms, conditions and notices together with the documents/links referred to in it (the "Terms of Service"). Use of this Application includes accessing, browsing or registering to use Application. By using the Services, you are agreeing/ accepting to all of the Terms of Service, as may be updated by us from time to time. You should check this page regularly to take notice of any changes we may have made to the Terms of Service. You further agree and represent that you are above 18 years for entering into this legally binding. If you are minor i.e. under 18 year, you agree to use the Application only with the involvement of a parent or guardian.

The Application provides a platform to the trainers working at Virohan’s training centers as facilitators and dealing with Virohan’s customers, its students, (together the “Representatives”) to enable the said Representatives to run classes, consume study material, answer quizzes, test their knowledge of the study material in one of the certifications offered by Virohan (“Candidate”) along with other dashboard and services to the Representatives to interact directly with Virohan.

The Representatives shall use the Application only for the aforementioned purpose as per the Privacy Policy for the User.

Please read these Terms & Conditions carefully before accessing or using our Application or any part thereof. By accessing or using any part of the Platform, You agree to be bound by these Terms & Conditions. If You do not agree to all the terms and conditions of this agreement, then You may not access the Platform or use any services provided by Us. These Terms and Conditions form a legal and binding agreement between the User and Us and is made pursuant to the terms of the Information Technology Act, 2000.

• Registered User
• As a registered user you agree and accept that you shall maintain confidentiality of your accounts details and password for preventing unauthorized use of your account. In case if you have any reason to believe that the information regarding your account or password has been compromised you shall immediately inform us to prevent any unauthorized usage. In such event, you agree to accept full responsibility for such unauthorized access. Virohan myLeads App reserves the right to refuse access to the Application, terminate accounts, remove or edit content at any time without notice to you.

The User of this Website unequivocally declares and agrees that the User is a natural / legal person who has attained the age of at least 18 years and is legally allowed to enter into a contract in India. The User is allowed to utilize the Services in accordance with the terms and conditions detailed hereinafter. By registering on the Website / App, the User hereby undertakes to agree and abide by the Terms & Conditions detailed herein. If the User violates any of these Terms & Conditions, or otherwise violates an agreement entered into through the medium of the Website / App, Virohan myLeads app may terminate the User’s membership, delete his/her profile and any content or information posted online by the User on the Platform or prohibit the User from using or accessing the Platform at any time in its sole discretion, with or without notice, including without limitation if Virohan myLeads app believes that User is under the age of 18 years. You are responsible for maintaining the confidentiality and security of Your account, password, activities that occur in or through Your account and for restricting access to Your computer or mobile, as the case may be, to prevent unauthorized access to Your account. You agree to accept responsibility for all activities that occur under Your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if You have any reason to believe that Your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner. Please ensure that the details You provide Us or upload on the Application shall be true, correct, accurate and complete to the best of your knowledge.

• Prohibitions
• You must not misuse this Application. You will not commit or encourage a criminal offense; transmit or distribute a virus, worm, or any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene; hack into any aspect of the Service; corrupt data; cause annoyance to other users; infringe upon the rights of any other person's proprietary rights; send any unsolicited advertising or promotional material, commonly referred to as "spam"; or attempt to affect the performance or functionality of any computer facilities of or accessed through this Application. Breaching this provision would constitute a criminal offense and Virohan myLeads App will report any such breach to the relevant law enforcement authorities and disclose your identity to them.

• We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your smartphone, computer equipment, computer programs, data or other proprietary material due to your use of this Application or to your downloading of any material posted on it, or on any Application linked to it.

• You must not use the Application in any way that causes, or is likely to cause, the Application or access to it to be interrupted, damaged or impaired in any way You understand that you, and not Virohan myLeads App, are responsible for all electronic communications and content sent from your computer to us and you must use the Application for lawful purposes only. You must not use the Application for fraudulent purposes, or in connection with a criminal offense or other unlawful activity.

• You are licensing to Virohan and its service providers, any information, data, passwords, materials or other content (collectively, “Content”) You provide through or to the Service. Company and service provider of Company may use, modify, display, distribute and create new material using such Content to provide the Service to You. We may also use, sell, license, reproduce, distribute and disclose aggregate, non-personally identifiable information that is derived through Your use of the Service.

• Intellectual Property, Software and Content
• The intellectual property rights in all software and content (including photographic images) made available to you on or through this Application remains the property of Virohan myLeads App or its licensors and are protected by copyright laws and treaties around the world. All such rights are reserved by Virohan myLeadsApp and its licensors. You may store, print and display the content supplied solely for your own personal use. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on this Application nor may you use any such content in connection with any business or commercial enterprise.

• If you print off, copy or download any part of our Application in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

• Further, if your enrollment in a Virohan training program is terminated for any reason whatsoever, your right to use the Application or any materials obtained from it shall cease with immediate effect and you must delete all copies of material obtained from the Application from your possession. Any violation of this may lead to legal consequences.

• Trademarks
• Virohan myLeads App, Virohan Logo, are registered trademarks of Virohan Pvt. Ltd. and you shall not make any use of the same without the prior permission of Virohan Pvt. Ltd.

• Information Technology Act
• This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and forms a valid and binding agreement between You as a User and Virohan. This document does not require any physical or digital signatures and is an electronic record generated by a computer system.

• We will not be liable for any loss or damage caused by a virus, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Application or to your downloading of any content on it, or on any Application linked to it.

• Linking to this Application
• You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any Application that is not owned by you. This Application must not be framed on any other site, nor may you create a link to any part of this Application other than the home page. We reserve the right to withdraw linking permission without notice.

• Access to Virohan myLeads App
• Your access to the Application may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction.

Any trade marks/names featured on this Application are owned by the respective trade mark owners. Where a trade mark or brand name is referred to it is used solely to describe or identify the products and services and is in no way an assertion that such products or services are endorsed by or connected to VirohanmyLeads App.

• YOUR USE OF THE SERVICE AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VIROHAN EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND AS TO THE SERVICE AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICE, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. VIROHAN FURTHER MAKES NO WARRANTY THAT: (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE TECHNOLOGY WILL BE CORRECTED AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM VIROHAN THROUGH OR FROM THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

• Indemnity & Release
• You agree to indemnify, defend and hold harmless Virohan myLeadsApp, its directors, officers, employees, consultants, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from your use this Application or your breach of the Terms of Service.

• You hereby expressly release Virohan myLeads App and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the Sellers and specifically waiver any claims or demands that you may have in this behalf under any statute, contract or otherwise.

• Notwithstanding anything to the contrary contained herein, neither Virohan Pvt. Ltd. nor its affiliated companies, subsidiaries, officers, directors, employees or any related party shall have any liability to You or to any third party for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or relating to these Terms & Conditions. To the maximum extent permitted by law, You waive, release, discharge and hold harmless Virohan, its affiliated and subsidiary companies, and each of their directors, officers, employees, and agents, from any and all claims, losses, damages, liabilities, expenses and causes of action arising out of Your use of the App.

• As a User, You also acknowledge that Virohan has maintained and carried out all possible checks and balances to assure the credibility of the Users as listed on the App. The information provided on the Application is based on the information that is provided to Virohan by its Users. In case the User does not disclose any information to Virohan, and the same is not found out at the first instance by Virohan, Virohan shall not be responsible for any claims or liabilities. Virohan in any event is not responsible for any default in return of money that is borrowed from the financial partners and the financial partners shall have the exclusive right to initiate proceedings against the defaulter borrower. Virohan shall to the best of its abilities aid the concerned User in terms of provision of information to initiate any legal proceedings. However, Virohan shall not be responsible for any default on behalf of the User. Virohan is merely an information technology platform and the User is entitled to conduct its own diligence before taking any steps to initiate the processes outlined on the App or any part thereof.

• Variation
• Virohan myLeads App shall have the right in its absolute discretion at any time and without notice to amend, remove or vary the Services and/or any page of this Application. Any change to policies or Terms of Service is required to be made by law or government authority (in which case it will apply to orders previously placed by you). If any of these Term is deemed invalid, void, or for any reason unenforceable, that Term will be deemed severable and will not affect the validity and enforceability of any remaining Terms.

• Invalidity
• If any part of the Terms of Service is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of the Terms of Service will not be affected all other clauses remaining in full force and effect. So far as possible where any clause/sub-clause or part of a clause/sub-clause can be severed to render the remaining part valid, the clause shall be interpreted accordingly. Alternatively, you agree that the clause shall be rectified and interpreted in such a way that closely resembles the original meaning of the clause /sub-clause as is permitted by law.

• Waiver
• If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

• Entire Agreement
• The above Terms of Service constitute the entire agreement of the parties and supersede any and all preceding and contemporaneous agreements between you and Virohan myLeads App.

• Applicable Law
• The law of Republic of India will apply to any claim/ dispute(s) arising through the use of our Application or these terms of use and the courts of Faridabad, Haryana, India will have exclusive jurisdiction.

• Collection of Information
• VIROHAN MYLEADS APP collects personal and non-personal information when they register to gain access to the services provided by the VIROHAN MYLEADS APP or at other specific instances when they are requested to provide us with their personal & non-personal information (“Information”) which shall be subject to our Privacy Policy available at https://www.virohan.com/myleads/privacy-policy

• Links to Third Party Sites
• Links to third party sites are provided by Application as a convenience to user(s) and VIROHAN MYLEADS APP has not have any control over such sites i.e. content and resources provided by them. VIROHAN MYLEADS APP may allow user(s) access to content, products or services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise) to such Third Party's web site. You are cautioned to read such sites' terms and conditions and/or privacy policies before using such sites in order to be aware of the terms and conditions of your use of such sites. VIROHAN MYLEADS APP believes that user(s) acknowledge that VIROHAN MYLEADS APP has no control over such third party's site, does not monitor such sites, and VIROHAN MYLEADS APP shall not be responsible or liable to anyone for such third party site, or any content, products or services

• Distribution of Information
• VIROHAN MYLEADS APP may, from time to time, send its users emails, SMS and other forms of communication regarding its products and services. VIROHAN MYLEADS APP constantly tries and improves the Application for better efficiency, more relevancy, innovative business matchmaking and better personal preferences. VIROHAN MYLEADS APP may allow direct mails using its own scripts (without disclosing the email address) with respect/pertaining to the products and services of third parties that it feels may be of interest to the user or if the user has shown interest in the same.
